Terms & Conditions

Effective Date: September 21, 2026

These Terms and Conditions (“Terms”) govern your access to verixoseo.com and your use of services provided by Verixo SEO (“Verixo SEO,” “we,” “our,” or “us”).

By using this website, submitting a form, requesting a proposal, or purchasing our services, you agree to these Terms. If you do not agree, please do not use the website or our services.

1. Our Services

Verixo SEO may provide services including:

  • Technical SEO
  • SEO audits
  • Keyword and competitor research
  • Content strategy and optimization
  • Internal-linking strategy
  • Link building and digital authority development
  • Local SEO
  • E-commerce SEO
  • AI visibility and Generative Engine Optimization
  • Analytics, reporting, and SEO consulting

The exact scope, deliverables, schedule, and fees for a project will be specified in a proposal, invoice, statement of work, email agreement, or service contract.

If these Terms conflict with a signed service agreement, the signed agreement will take priority for that project.

2. No Ranking or Performance Guarantees

Search engines, AI platforms, websites, publishers, and third-party platforms operate independently from Verixo SEO.

We do not guarantee:

  • Specific keyword rankings
  • First-page or number-one rankings
  • A particular amount of traffic, leads, sales, or revenue
  • Google indexing of every submitted page
  • Backlink permanence
  • Acceptance by a third-party publisher
  • Inclusion or citation in Google AI Overviews, ChatGPT, Gemini, or another AI platform
  • Continued visibility after a search-engine or platform update

SEO performance may be affected by competition, website condition, content quality, implementation speed, market demand, search-engine updates, client actions, and other factors outside our control.

Any forecast, projection, estimate, or opportunity analysis is informational and is not a guarantee of future performance.

3. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete business information
  • Providing required website, analytics, and platform access
  • Reviewing and approving work within a reasonable period
  • Maintaining secure access credentials
  • Backing up websites and important data
  • Ensuring that their products, services, claims, and content comply with applicable laws
  • Informing us about website changes that may affect our work
  • Paying agreed fees according to the applicable proposal or invoice

We are not responsible for delays or performance problems caused by missing access, inaccurate information, delayed approvals, unauthorized changes, or failure to implement recommendations.

4. Website and Account Access

When access to a website, hosting account, analytics platform, search console, business profile, or another system is required, the client authorizes Verixo SEO to use that access only for the agreed services.

Clients should use role-based or temporary access whenever possible and should not send highly sensitive credentials through unsecured public forms.

The client remains responsible for maintaining ownership and administrative control of its accounts.

5. Proposals and Scope of Work

A proposal or quotation is valid for the period stated in that document. If no validity period is provided, we may revise the scope, schedule, or price before work begins.

Work outside the agreed scope may require:

  • A revised quotation
  • An additional invoice
  • A revised delivery schedule
  • Written approval from the client

Verixo SEO is not required to perform work that was not included in the agreed scope.

6. Fees and Payment

Fees, payment schedules, accepted payment methods, and due dates will be stated in the applicable proposal, invoice, or service agreement.

Unless otherwise agreed:

  • Work may begin only after the required initial payment is received
  • Ongoing services must be paid according to the agreed billing schedule
  • Third-party costs are separate unless expressly included
  • Work may be paused when an invoice becomes overdue
  • Deliverables or account access may be withheld until outstanding payments are resolved, where legally permitted

The client is responsible for applicable transfer fees, transaction fees, taxes, or currency-conversion costs unless otherwise agreed.

7. Cancellations and Refunds

Cancellation and refund eligibility depend on the applicable proposal, service agreement, and the amount of work already completed.

Unless otherwise agreed in writing:

  • Fees for completed work are non-refundable
  • Fees already committed to publishers, software, contractors, or third-party services are non-refundable
  • Deposits may become non-refundable after work has started
  • Completed audits, research, strategy documents, content, outreach, and consultation time are chargeable
  • Monthly services may be cancelled according to the notice period specified in the relevant agreement

A refund will not be issued solely because a website did not achieve a preferred ranking, traffic level, backlink outcome, AI citation, lead volume, or revenue result.

8. Link-Building Services

When link-building services are provided:

  • Publisher approval and publication remain under the publisher’s control
  • Publication dates may change
  • A publisher may edit, reject, remove, redirect, nofollow, sponsor, or otherwise modify a link
  • Domain metrics and traffic estimates may change over time
  • Search engines may ignore, devalue, or reassess links
  • We do not guarantee that any link will remain live permanently unless expressly agreed

We aim to follow the quality and relevance criteria described in the applicable service agreement, but third-party publisher actions remain outside our control.

Paid placements, sponsorships, or incentives may require appropriate disclosure or link attributes under applicable search-engine guidelines and laws.

9. Content and Client Approval

The client is responsible for reviewing content, designs, metadata, schema, recommendations, and other deliverables before publication or final implementation.

The client must verify:

  • Factual accuracy
  • Prices and product information
  • Legal or regulated claims
  • Medical, financial, or professional statements
  • Brand names and trademarks
  • Business contact information
  • Licensing and compliance requirements

We may use software and AI-assisted tools for research, drafting, analysis, quality control, or workflow support. Material deliverables remain subject to human review according to the agreed scope.

10. Intellectual Property

Unless otherwise agreed:

  • Verixo SEO retains ownership of its pre-existing methods, templates, frameworks, processes, tools, and general knowledge
  • The client retains ownership of materials it provides
  • Upon full payment, the client may use final custom deliverables created specifically for the project
  • Unpaid drafts and deliverables may not be published, resold, or distributed
  • Third-party assets remain subject to their respective licenses

Verixo SEO may reference general, non-confidential experience gained from a project without disclosing confidential client information.

We will not publicly identify a client or publish confidential performance data as a case study without appropriate permission.

11. Confidentiality

Each party should protect confidential information received during a project and use it only for the agreed business purpose.

Confidential information does not include information that:

  • Is already publicly available
  • Was lawfully known before disclosure
  • Is independently developed without using confidential information
  • Must be disclosed under applicable law or a lawful authority request

Separate confidentiality agreements may apply where required.

We are not responsible for:

  • Third-party outages or errors
  • Platform policy changes
  • Pricing changes
  • Account restrictions or suspensions
  • Data inaccuracies
  • Feature removal
  • Security incidents controlled by the third party
  • Search-engine or algorithm updates

Use of third-party services may also be subject to their own terms and privacy policies.

13. Prohibited Use

You may not use our website or services to:

  • Violate applicable laws
  • Distribute malware or harmful code
  • Attempt unauthorized access to systems or accounts
  • Misrepresent another person or organization
  • Infringe intellectual-property rights
  • Send spam or deceptive communications
  • Promote fraudulent, harmful, or unlawful activities
  • Copy or resell our protected materials without permission
  • Interfere with website security or operation

We may refuse or terminate services connected to unlawful, deceptive, abusive, or unethical activities.

14. Service Suspension or Termination

Either party may terminate services according to the applicable proposal or service agreement.

We may suspend or terminate work if:

  • Required payments are overdue
  • Necessary access or information is not provided
  • The client requests unlawful or deceptive activity
  • The client breaches an agreement
  • Continuing the work creates a security, legal, ethical, or reputational risk

The client remains responsible for fees and third-party costs incurred before suspension or termination.

15. Disclaimer

Website content is provided for general informational purposes. It does not constitute legal, financial, tax, medical, or other regulated professional advice.

While we aim to provide accurate and useful information, we do not guarantee that all website content will always be complete, current, or error-free.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Verixo SEO will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of rankings, traffic, revenue, profits, data, opportunities, reputation, or business interruption.

Where liability cannot legally be excluded, our total liability relating to a claim will not exceed the amount paid to Verixo SEO for the specific service giving rise to that claim during the applicable project period.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold Verixo SEO harmless from claims, losses, or expenses resulting from:

  • Materials or instructions you provide
  • False or unlawful business claims
  • Your products or services
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Unauthorized or unlawful use of delivered materials

18. Governing Law

Unless a separate written agreement states otherwise, these Terms will be governed by the applicable laws of Bangladesh.

The parties should first attempt to resolve any dispute through good-faith communication before pursuing formal proceedings.

19. Changes to These Terms

We may update these Terms when our website, services, pricing model, tools, or legal obligations change.

The latest version will be posted on this page with an updated effective date. Continued use of the website after an update constitutes acceptance of the revised Terms.
